Terms x Conditions

The nitty gritty.

The following Terms and Conditions of Service apply to all products and services provided by Winter Woods Design, LLC. These statements supersede any previous Terms and Conditions distributed in any form. All paid invoices, deposits, and retainers via Square or Stripe prove Client’s full acceptance and electronic agreement to Winter Woods Design's Terms and Conditions. Winter Woods Design reserves the right to change any rates and any of the terms and conditions at any time and without prior notice.


Winter Woods Design reserve the right to reject any order that contains objectionable or offensive material.



Fees will be detailed in the project quote that is provided to the customer. A non-refundable deposit of 50% of the quoted fee is required before any design work can begin. Payment is due upon receipt of invoice. The remaining balance must be paid in full before any final files are provided. Payment of invoice binds the client to accept these terms and conditions. Charges for any additional services over and above the original project scope can be added upon review of quote.


Membership fee must be paid at time of purchase. Automatic payments will occur according to payment schedule outlined in client invoice. Payment schedule is dependent on membership selection. Invoice will be sent to provided email address immediately upon receipt of payment. Membership clients will receive exclusive access to design portal to select graphic design service of choice, submit and receive files, communicate with the designer, as well as schedule consultations and appointments.


All images or graphics clients provides to be used in any design are assumed to have the proper permissions and/or licenses. Winter Woods Design is not liable for the use or misuse of the images and graphics you provide. All clients agree to fully indemnify and hold Winter Woods Design free from harm in any and all claims resulting from the client not having obtained the required copyright or any other necessary permissions. Copyright is retained by Winter Woods Design on all design work until all costs have been settled.

Any design, copywriting, drawing, idea or code created for the customer by Winter Woods Design, is licensed for use by the client on a one-time only basis and may not be modified or re-distributed in any way or form without the express written consent of Winter Woods Design.


Providing content for graphic design work is the responsibility of the client and is not included in any design service.  Images must be of a quality suitable for use without any subsequent image processing. Winter Woods Design will not be held responsible for any image quality which the client later deems unacceptable.Winter Woods Design advises clients to have branding and copy prepared before your project begins to avoid fees for delays in project schedule. The customer agrees to supply Winter Woods Design with all necessary content required to create and complete the project. 


Please note that Winter Woods is not responsible for color variation, as all computer monitors display colors differently. Keep in mind that the color on the print product you order will be close, but it may not be exactly what you expected. We suggest requesting a printed proof in order to avoid  and correct any discrepancies.


Once Winter Woods Design has contacted you to get started on your design, it is imperative that you stay in constant contact in order to complete your design in a timely manner. If you take longer than 72 hours (3 days) to provide requested materials, or to reply to any email inquiry from Winter Woods Design, your order will be cancelled, you will lose the rights to your design, and a 20% refund of any payment proceed will be returned.


Any indication given by Winter Woods Design of a project’s duration is to be considered by the customer to be an estimation. Winter Woods Design will not be held responsible for any project overruns, whatever the cause. Estimated project duration is deemed to be from the date that cleared funds are received by Winter Woods Design for the initial non-refundable deposit and project start date indicated in the timeline document.


The customer also agrees to allow Winter Woods Design to place designs, along with a link to the client’s site on Winter Woods Design's own website for demonstration and portfolio purposes. Objections to crediting our design studio should be addressed during the design consultation, or presented to the designer before project completion.


Due to the nature of custom orders, design items are non-refundable or exchangeable. If there is an issue with your design, please don’t hesitate to contact us and we will work with you. Project cancellations can be made by telephone or e-mail. Clients must cancel before the project start date to avoid any fees. In the event of a cancellation notice after the project has started, the client will be invoiced for all work completed over and above the non-refundable deposit. Charges invoiced will be at our hourly rate of $125. The balance of monies due must be paid within 30 days. Please note: any cancellation which is not formally confirmed in writing and received by Winter Woods Design within 14 days of such instruction being issued, will be liable for the full quoted cost of the project.

Winter Woods Design LLC makes no warranties of any kind, express or implied, for any services that it supplies. Winter Woods Design LLC will not be held responsible for any damages resulting from services it supplies. Winter Woods Design LLC is not responsible for any loss, or consequential loss of data, or non-delivery of products or services, of whatever cause. While we take reasonable steps to investigate the materials we recommend, we accept no responsibility for the performance or quality of materials or any consequential loss arising from their failure. The customer agrees not to hold Winter Woods Design LLC responsible for any such loss or damage.
